The Insurance Institute of Canada (“IIC”) owns, operates and maintains the website, www.insuranceinstitute.ca, including all content thereon (the “Site”). By accessing, browsing or using the site, you signify that you have read, fully understand and accept and agree to the following terms and conditions (“Terms”).

 

IF YOU DO NOT ACCEPT AND AGREE TO BE LEGALLY BOUND BY AND COMPLY WITH THESE TERMS, YOU ARE NOT PERMITTED TO ACCESS OR USE THE SITE.

 

1. Changes to these Terms or the Site

Subject to applicable law, we reserve the right, in our sole and absolute discretion, to modify all or any portion of these Terms at any time without incurring any liability or obligation whatsoever to you or any other person or entity. If we do this, we will post the changes to these Terms on the Site, and will indicate the date these Terms were last revised. To the fullest extent permitted by applicable law, your continued access to and/or use of any Site after the date specified in such notice constitutes your full acceptance of, and agreement to be legally bound by, the terms of these Terms, as revised.

 

You hereby acknowledge and agree that we reserve the right at any time to modify or discontinue the whole, or any part of, the Site, without notice, and that we will not be responsible or liable, directly or indirectly, to you or any other person or entity for any loss or damage of any kind incurred as a result of any such modifications or discontinuance.

 

2. Intellectual Property Ownership

The Site consists of various graphics, texts, icons and buttons that have been provided by the IIC and/or other entities under our direction (e.g. site designers) (collectively “Site Materials”). The Site Materials were produced or compiled by the IIC for the purpose of providing members, students, and visitors with information about the IIC, and access to information about the programs and courses offered by the IIC and its institutes and chapters. All such content is owned by the IIC and/or the applicable third party entity. For greater certainty, the IIC and applicable third party entities hold all right, title, and interest in and to any and all content provided by such parties for the Site.

 

You acknowledge that the Site Materials are protected by all copyright, trade-mark, and other applicable intellectual property laws. Your use of the Site does not grant or transfer to you any ownership or other rights in the Site Materials, and except as expressly provided, nothing herein or within the Site shall be construed as conferring on you or any other person any license under any of IIC or any third party’s intellectual property rights, including, without limitation, any right to download, display, reproduce, distribute, modify, edit, alter or enhance any of the Site Materials in any manner whatsoever. Any rights not expressly granted to you in these Terms are expressly reserved by the IIC. For greater certainty, you agree that you will not take any action that is inconsistent with IIC ownership of the Site and/or IIC ownership of, or any third party’s ownership of, any Site Materials.

 

The logos and trademarks of The Insurance Institute of Canada and the CIP and FCIP designations are protected by copyright law. They may not be downloaded, used or reproduced without our written permission. Without the prior written permission of the IIC, you may not use this Site or any Site Materials for purposes other than your own personal, non-commercial use.

 

Without limiting the foregoing, you may not frame, capture or reproduce the IIC Site or any part thereof, without our prior written permission. You cannot use or access the Site for any purpose except as expressly provided herein.

 

3. Use of Materials

The IIC hereby grants each user of this Site a limited, non-exclusive and revocable license to make personal and non-commercial use of the Site and its Site Materials, as permitted in accordance with the functionality on the Site. For greater certainty, this limited license only allows you to view, download or print materials from this Site for your own personal and non-commercial use (provided all original copyright, trade-mark and other notices are preserved in their original form).

 

4. Disclaimer

To the fullest extent permitted by the applicable law, the use of the IIC Site and any Site Materials is at your sole risk. The Site and the Site Materials are provided on an “as is” and “as available” basis, and without warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, non-infringement or third party rights and fitness for a particular purpose.

 

Without limiting the foregoing, neither the IIC, nor the following local and regional chapters and institutes: The Insurance Institute of British Columbia, Vancouver Island Chapter, The Insurance Institute of Northern Alberta, The Insurance Institute of Southern Alberta, The Insurance Institute of Saskatchewan, The Insurance Institute of Manitoba, The Insurance Institute of Ontario, Greater Toronto Area, Cambrian Shield Chapter, Conestoga Chapter, Southwestern Ontario Chapter, Hamilton-Niagara Chapter, Kawartha-Durham Chapter, Ottawa Chapter, L'Institut d'assurance de dommages du Québec, The Insurance Institute of Newfoundland & Labrador Inc., The Insurance Institute of New Brunswick, The Insurance Institute of Prince Edward Island, The Insurance Institute of Nova Scotia, collectively the “IIC Entities”, make any representations or warranties that: i) access to the Site and the Site Materials will be uninterrupted or error-free, ii)it is secure or free of viruses or other harmful material, iii) the information provided will be complete, accurate or timely, iv) the Site will be compatible with your computer and software; v) the Site will be available or will function without interruption or error, vi) the transmission of information to and from the Site will be secure; (vii) the use of the Site will not infringe the rights (including, without limitation, intellectual property rights) of any person; or (viii) the use of the Site will not cause any damage to your computer systems, software or electronic files.

Any products and/or services described on the Site are offered in jurisdictions where they may be legally offered for sale. The information on the Site is not an offer or solicitation by anyone in anyone in any jurisdiction in which an offer or solicitation cannot legally be made, or to any person to whom it is unlawful to make a solicitation.

 

5. Limitation of Liability

The IIC Entities, and each of their respective institutes, chapters, and each of their respective agents, employees, directors, successors, and assigns will not under any circumstances be liable to you or any other person or entity for any damages whatsoever arising from, connected with, or relating to the Site. You expressly acknowledge that the IIC has entered into this agreement with you and makes the Site available to you, in reliance upon the limitations and exclusions of liability and the disclaimers set forth herein, and that the same form an essential basis of the bargain between you and the IIC. You expressly agree that the limitations and exclusions of liability and the disclaimers set forth herein will survive, and continue to apply in the case of a fundamental breach or breaches, the failure of essential purpose of contract, the failure of any exclusive remedy, or termination of these Terms.

The IIC website may contain links to content provided on third party websites. These links are provided solely as a convenience. The Institute does not endorse or approve and is not responsible for, the information contained on these sites or guarantee its quality, accuracy, reliability, completeness, or fitness for any purpose.

 

Where links to other web pages are provided, the IIC cannot be held responsible for the privacy practices or content of those sites.

9. User Content, Prohibited Content and User Conduct

Certain features and/or portions of this Site may (or may in the future) permit you to upload, post or otherwise transmit content that you have created (the “User Content”). The IIC prohibits the posting of User Content that is or may be offensive or expose an individual or a group of individuals to hatred or contempt on the basis of race, national or ethnic origin, colour, religion, sex, sexual orientation, age or mental or physical disability.

 

Users are prohibited from submitting or posting any User Content that:

 

i. contains pornography, vulgarity, obscenity or sexually explicit content, hate speech, threats, harassment, personal attacks, threats, insults or defamatory statements,

 

ii. may, in the sole and absolute discretion of the IIC, degrade, tarnish or deprecate the IIC and/or the public image or standing in the community of the IIC;

 

iii. is deemed, in the sole and absolute discretion of the IIC, to contain, depict, include, discuss or involve, without limitation, any of the following: nudity; alcohol/drug consumption or smoking; explicit or graphic sexual activity, or sexual innuendo; crude, vulgar or offensive language and/or symbols; derogatory characterizations of any ethnic, racial, sexual, religious or other groups; content that endorses, condones and/or discusses any illegal, inappropriate or risky behaviour or conduct; personal information of individuals, including, without limitation, names, telephone numbers and addresses (physical or electronic); commercial messages, comparisons or solicitations for products or services other than products of the IIC; any identifiable third party products, trade-marks, brands and/or logos, other than those of the IIC; conduct or other activities in violation of these Terms; and/or any other content that is or could be considered inappropriate, unsuitable or offensive, all as determined by the IIC in its sole and absolute discretion;

 

iv. contains any reference to or likeness of any identifiable third parties, unless consent has been obtained from each such individual and his/her parent/legal guardian if he/she is under the age of majority in his/her jurisdiction of residence;

 

v. is in any way disparaging, or might be seen to be disparaging, to the IIC;

 

vi. infringes, or might infringe, the intellectual property rights, privacy rights, rights of publicity, or other proprietary rights of others or give rise to any claims for payment whatsoever;

 

vii. contains any viruses, trojan horses, time bombs, or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; or

 

viii. contains (in any format or media) any music, logos, trade-marks or other copyrighted materials (e.g. photographs, pictures, texts, lyrics, etc.) unless you have first obtained consent from the owner of such materials. Content submitted to the IIC website by members must observe the following guidelines:

 

Posts must be respectful and courteous;

Comments should be posted in English or French, as appropriate;

Content must be relevant to the topic;

Members agree to avoid repetitive posting;

Posts should not include personal information such as phone numbers or e-mail addresses.

 

You hereby agree that you shall not use the Site to:

 

i. disrupt, place unreasonable burdens or excessive loads on, interfere with or attempt to gain unauthorized access to any portion of the Site;

 

ii. collect information about others without their consent; and/or

 

iii. upload, post, email, transmit or otherwise make available any content that you do not have the right to disclose or make available.

 

By using the Site and providing User Content, you hereby acknowledge, agree, warrant and represent to the IIC that any and all User Content (in any format or media) you post on, upload to or otherwise submit to or through, the Site:

 

a. is original to you and that you have obtained all necessary rights in and to the User Content and all of its components (if applicable) to post, upload, or otherwise submit it to or through the Site; and

 

b. does not violate any law; and

 

c. complies with these Terms.

 

If you violate any of these guidelines, the IIC will not accept further User Content or submissions from you and may suspend or block your access to the Site.

 

10. Your Licence to the IIC of your User Content

By using the Site and providing User Content, you: (i) grant to the IIC a world-wide, perpetual, irrevocable, transferable, sub-licensable, royalty-free, non-exclusive, and unrestricted licence to copy, reproduce, adapt, transmit, edit, modify, or otherwise use, publicly display, distribute, translate and create compilations and derivative works from, any and all User Content (in any format or media) that you post on, upload or otherwise submit to or through, the Site; and (ii) waive all moral rights in and to all User Content that you post on, upload or otherwise submit to or through, the Site in favour of the IIC. For greater certainty, this means that, among other things, the IIC has the right to use any and all ideas you submit (including ideas about our products, services, publications or advertising campaigns) in any manner that we choose, without any notice or obligation to you whatsoever.

 

11. Monitoring

IIC reserves the right to monitor the Site electronically from time to time and to disclose any information necessary to satisfy any law, regulation or other governmental request, to operate a website or any of the services properly, or to protect itself or its users. 12. Indemnification By using this Site, you agree to release, defend, indemnify and hold the IIC Entities harmless against any claim or demand that might be made by any third party for damages, losses, costs and expenses arising out of or relating to any posts or content that you have submitted, your use of the Site, or your breach of any of these Terms. 13. Notices of Infringing Content If you are an intellectual property owner, authorized to act on behalf of one, or authorized to act under any intellectual property right, you agree to promptly report any alleged intellectual property infringements taking place on or through the Site by providing a written notice with the following information:

 

Identification of the intellectual property right that you claim has been infringed;

Identification of the allegedly infringing content, and information reasonably sufficient to permit us to locate it;

A statement by you that you have a good faith belief that the use of the content identified in your notice in the manner complained of is not authorized by the copyright/trade-mark owner, its agent, or the applicable law;

A statement by you that you attest that the information in your notice is accurate and that you are the intellectual property right owner or otherwise authorized to act on the owner's behalf; and

Your physical or electronic signature, together with your contact information (address, telephone number and, if available, email address).

14. Registration and Security

To use certain features of the IIC Site, you may be asked to register. By registering as a member, you agree to provide true, accurate, current and complete information about yourself as prompted by any registration form; and to maintain and promptly update the information you provide to ensure that it is accurate and complete.

 

By registering for the IIC Site, you will need to select a username and password to complete the registration process. You will be responsible for maintaining the confidentiality of this password and account, and are responsible for all activities that occur under your password or account.

 

It is important to ensure that you exit from your account at the end of each session.

 

You must notify the IIC immediately of any unauthorized use of your password or account or any other breach of security. The IIC will not be liable for any loss or damage arising from your failure to protect your password or account information.

 

15. Governing Law

IIC members can access this website from all Canadian provinces and territories, as well as from other countries. For users who are not individuals resident in the province of Quebec, these Terms of use are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein and apply notwithstanding your residency or physical location. By using the website, you agree to the exclusive jurisdiction of the courts of the Province of Ontario. 16. Termination

If you breach any provision of these Terms you may no longer use the Site. We may, in our sole discretion, change, suspend or terminate, temporarily or permanently, the Site or any part thereof or any of its features at any time, for any reason, without any notice or liability to you or any other entity. If these Terms or your permission to use the Site is terminated by us for any reason, the agreement formed by your acceptance of these Terms will nevertheless continue to apply and be binding upon you in respect of your prior use of the Site and anything relating to or arising from such use. If you are dissatisfied with the Site or with these Terms or our Privacy Policy, then your sole and exclusive remedy is to discontinue using the Site. The Disclaimer and Limitation of Liability, Intellectual Property Ownership, Your Licence to the IIC of your User Content, and Indemnity provisions in this agreement shall survive any termination of this agreement.

 

17. General

If any provision of these Terms is held invalid or unenforceable by any court having competent jurisdiction, such provision shall be enforced to the maximum extent permitted by law, and the remaining provisions of these Terms shall continue in full force and effect. No failure to exercise or waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision of these Terms.

 

These Terms are binding upon you, your heirs, executors, beneficiaries, successors and assigns and you may not assign this agreement to any other party without our prior written consent, which consent may be withheld in our sole and absolute discretion.
